1. Who We Are and How to Contact Us

These Terms govern your access to and use of the Altius website, applications, dashboards, and related services (collectively, the “Platform”).
2. Acceptance of These Terms
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
3. Eligibility
● You must be at least 13 years old to use the Platform.
● Access may be provided through an employer-sponsored program or a direct-to-consumer subscription.
4. What Altius Provides
Altius provides a digital platform designed to support awareness, insight, and reflection related to human performance, life quality, and well-being.
The Platform may include:
● Self-reported assessments and reflections
● AI-enabled insights and suggestions
● Educational content and research-based information
● Aggregated and anonymized population-level insights
Altius does not provide:
● Medical care or medical advice
● Coaching, therapy, or counseling
● Diagnostic testing, laboratories, or supplements
● Emergency or crisis services
5. Employer-Sponsored Use
If you access the Platform through an employer-sponsored program:
● Employers and administrators do not have access to individual-level user data, unless otherwise authorized by the user.
● Employers receive only aggregated and anonymized insights at the population level, unless otherwise authorized by the user.
● Employer access to Platform data may not be used for individual:
○ employment decisions (hiring, promotion, compensation)
○ performance evaluation or management
○ discipline or termination
○ insurance eligibility decisions
○ surveillance, monitoring, or tracking of individual employees
Any employer relationship is governed by a separate enterprise agreement between Altius and the employer organization.
Nothing in these Terms grants employers rights to individual user data or creates any obligation for users to share individual-level information with their employer.
Individual users may discontinue use of the Platform at any time without notice to their employer.
6. User Accounts and Security
● You are responsible for maintaining the confidentiality of your account credentials.
● You are responsible for all activity that occurs under your account.
● You must provide accurate and current information.
● You agree to notify Altius immediately of any unauthorized access to your account.
7. Acceptable Use
You agree not to:
● Misuse the Platform or interfere with its operation
● Attempt unauthorized access to the Platform or other users’ accounts ● Upload malicious code, viruses, or harmful content
● Use the Platform for unlawful, deceptive, fraudulent, or harmful purposes ● Attempt to reverse engineer, decompile, or exploit the Platform’s proprietary technology ● Use automated systems or bots without authorization
● Impersonate any person or entity or misrepresent affiliation
8. AI, Insights, and Searches
Any AI-generated insights or suggestions:
● Are informational only and based on patterns in self-reported data
● Are not medical advice, diagnoses, or clinical recommendations
● Should not be relied upon as the sole basis for health, medical, or life decisions ● May not reflect the full complexity of individual circumstances
You are solely responsible for how you interpret and act on information provided through the Platform. Consult qualified professionals before making health-related decisions.
9. User Content
● You retain ownership of content you submit.
● You grant Altius a limited, non-exclusive, royalty-free license to use such content solely to operate, maintain, and improve the Platform and to create aggregated and anonymized insights.
● Content must comply with applicable laws and acceptable use standards. ● Altius will not sell or share individual content except as described in the Privacy Notice.
10. Privacy and Data Use
Your use of the Platform is governed by our Privacy Notice, which explains: ● What data we collect
● How data is used
● How data is protected
● How aggregated and anonymized insights are created
● Your data rights
Altius is not a covered entity under HIPAA and does not provide medical services. We implement industry-standard security measures to protect user information.
11. Subscription Terms (If Applicable)
If you subscribe directly as a consumer:
● Fees are charged in advance on a recurring basis.
● Subscriptions automatically renew unless canceled before renewal. ● Cancellation takes effect at the end of the billing period.
● Refunds are provided only as required by law or at Altius’s discretion. ● Pricing changes will be communicated with at least 30 days’ notice.
12. Platform Availability and Modifications
● The Platform is provided “as is” and “as available.”
● Availability is not guaranteed.
● Altius may suspend, modify, or discontinue features for maintenance, security, legal, or operational reasons.
● Reasonable notice will be provided for material reductions in functionality.
13. Intellectual Property
All Platform content, software, algorithms, tools, designs, and trademarks are proprietary to Altius and protected by law.
You may not copy, modify, distribute, or create derivative works without written permission.
14. Third-Party Integrations
The Platform may integrate with third-party services with your consent. ● Altius is not responsible for third-party services.
● Third-party use is governed by their own terms and policies.
● Permissions may be revoked at any time.
15. Disclaimers
● Altius does not provide healthcare services or medical advice.
● Information may not be complete, current, or applicable to your situation. ● You assume all risk from use of the Platform.
● No warranties are provided, express or implied.
16. Limitation of Liability
To the fullest extent permitted by law:
● Altius is not liable for indirect, incidental, consequential, punitive, or special damages.
● Total liability is limited to the greater of $100 or the amount paid in the prior 12 months.
17. Termination and Data Handling
● You may close your account at any time.
● Altius may suspend or terminate access for violations or legal reasons. ● Upon termination:
○ Access ends immediately
○ Data handling follows the Privacy Notice
○ Aggregated, anonymized data may be retained
18. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware.
Disputes shall be brought exclusively in Delaware state or federal courts, unless otherwise required by law.
19. Changes to These Terms
Material changes will be communicated via:
● Platform notice
● Login prompt
Continued use constitutes acceptance.
20. General Provisions
Severability: Invalid provisions do not affect the remainder.
No Waiver: Failure to enforce is not a waiver.
Entire Agreement: These Terms and the Privacy Notice constitute the entire agreement. Assignment: Altius may assign these Terms in connection with corporate transactions.
